Any reason to pass on this? color and cut are ok, size is ok, HCA is a 1.2... am I missing anything?

Nope. Except you are overpaying. If I was spending 20K I'd want at least 1.70 carats.

I wouldn't spend money on F VS1 though. I'd drop to G VS2 save the money. You won't be able to tell them apart. They could sidestones to the same stone or earrings. Or better yet, H eyeclean SI1.

Or I'd call a vendor and ask them to get you a 1.7 G VS2 (I couldn't find any in stock)
